Credi Pty Ltd – Partner Terms and Conditions of Use

 

1. Become a Credi partner (Partner)

1.1 Credi provides a service to set up loan agreements between parties (Services) and the Partner wishes to provide access to the Services to its clients to introduce them to the Credi’s platform and tools on the terms and conditions herein (Partner Network).

1.2 Prior to being approved as a Credi partner, the Partner must fill and lodge an application on the Credi website.

1.3 If the Partner is other than a natural person, the Partner represents and warrants that the person who lodges the application has full authority to bind the Partner.

1.4 Credi will determine at its entire discretion if the application to become a Partner is successful.

1.5 The Partner will receive an email of confirmation providing the Partner with the login details to a profile dashboard (Profile) on the Partner Network.

1.6 The Partner must fill the required information on its Profile within 7 days and in accordance with Clause 4.1.

1.7 There is no Fee to become a Partner however fees are payable by the Partner for the use of Services.

2. Remain a Credi partner

2.1 The Partner must: 2.1.1 Comply and adhere at all times with these Partner Terms and Conditions; 2.1.2 Comply and adhere at all times with Credi’s General Terms and Conditions ; 2.1.3 Comply and adhere at all times with Credi’s Privacy Policy ; 2.1.4 Accept and agree that the fees for the provision of the Services (Fees)Fees can be modified by Credi from time to time at Credi’s discretion; which it acknowledges it has read and agrees to be bound by updates published by Credi on its website from time to time.

2.2 Accept that the documents referred to at clauses 2.1, 2.2 and 2.3 may be amended from time to time by Credi at its entire discretion; and

2.3 Maintain an updated Profile such that any changes are recorded within 7 days.

3. Credi Logo and Information

3.1 Credi will provide the Partner with access to a range of trademarked Credi logos (Credi Logo) which the Partner may use to demonstrate affiliation to the Partner Network (Logo Licence).

3.2 The Partner agrees that the Logo Licence is a non-exclusive, royalty-free, personal, non-transferable and revocable licence for the time the Partner is a part of the Partner Network in Australia.

3.3 In using the Logo Licence, the Partner must comply with the conditions for the use of the Credi Logo.

3.4 If Credi removes the Logo Licence either at its own discretion or upon the Partner breach of any of the requirements outlined at Clause 3.3:

3.4.1 the Logo Licence will be deemed revoked immediately; and

3.4.2 the Partner must cease using the Logo Licence immediately.

4. Submitted information and Indemnity

4.1 Any submission, email, message, material or information entered on the Partner Network whether on behalf of the Partner’s client (Content) must be accurate, legal, truthful and comply with any legal or professional obligations the Partner is subject to.

4.2 The Partner is solely responsible for the Content provided by the Partner on the Partner Network.

4.3 The Partner agrees to indemnify Credi against any and all claims, costs, damages and/or loss that Credi may sustain or incur, as a result of any claim by a third party, including the Partner’s clients and any Credi users, arising from:

4.3.1. the Partner’s acts or omissions including, but not limited to, the Partner’s provision of professional services, implementation support, or other products or services;

4.3.2. the submission of inaccurate Content to the Partner Network or consequences attached to this submission; and

4.3.3. the Partner’s breach of these Partner Terms and Conditions

5. Billing and Payment

5.1 An invoice will be issued to the Partner outlining the Fees for the Services used by the Partner whether for itself or on its clients’ behalf on the last day of the month (Invoice).

5.2 The Invoice will be sent and deemed to be received at the email address registered on the Partner’s Profile.

5.3 Any Services charged on an annual basis may be invoiced by Credi annually in advance.

5.4 The Partner hereby agrees to guarantee payment of the Invoice within 21 days.

5.5 Credi reserves its rights to collect the overdue Invoices through an external debt collector at the Partner’s expense, after the period specified at Clause 5.4.

6. Privacy and Intellectual Property

6.1 The information collected on the Partner Network will be treated in accordance with Credi’s Privacy Policy;

6.2 All intellectual property rights, materials and/or information contained on the Partner Network, whether registered or unregistered (including without limitation all copyright, patents, design rights, know-how, trademarks, trade names, trademarks and logos) (together “Intellectual Property”) are proprietary to Credi. The Partner may print individual content from the Partner Network on paper (but not photocopy it) only for the purpose of making use of the Partner Network.

6.3 The Partner must not use or permit to use techniques, methods or means to capture any of Credi’s Intellectual Property or other proprietary information (including but not limited to strategies, information or content) without Credi’s prior written consent.

7. Application of these Terms and Conditions

7.1 Access to Services (including by the Partner’s clients) is subject to Credi’s General Terms and Conditions.

7.2 No agency, partnership, joint venture or employment is created between Credi and the Partner as a result of these Partner Terms and Conditions. The Partner is not authorised to create any obligation, express or implied, on behalf of Credi.

7.3 Access to the Partner Network on these Partner Terms and Conditions will apply as soon as the Partner receives an email notification to that
effect, and remains in force until:

7.3.1. superseded by Credi at any time effective upon the online publication of replacement terms – notice of such modifications of these terms will be sent to the Partner via email, at the email address recorded on the Profile;

7.3.2. terminated by either party for any reason by providing one month’s notice in writing to the other party; or 7.3.3. terminated by Credi, for the Partner’s material breach of any of the terms in these Partner Terms and Conditions;

7.4 Should the access to the Partner Network be terminated for any reason with regard to the above subclause:

7.4.1. the Partner will no longer be able to participate in, or receive the benefits of, the Program; and

7.4.2. Credi’s General Terms and Conditions may remain applicable to the Partner as a non-partner.

7.5 Should the Partner Terms and Conditions be inconsistent with Credi’s General Terms and Conditions, Credi’s General Terms and Conditions will take priority.
